1. Who we are, and these terms
SabiLedger ("we", "us") is an online bookkeeping service for businesses. These terms are the agreement between us and the business that signs up ("you"), and they apply to everyone the business adds to its account.
By creating an account or using SabiLedger, you agree to these terms and to our Privacy Policy. If you sign up for a business, you confirm you're allowed to agree on its behalf.
2. Your account
- The person who signs up must be at least 18 and give true details about themselves and the business.
- We review every new business before it goes live, and we may decline one without giving a reason.
- Each person uses their own sign-in. Keep passwords and sign-in codes private, and tell us straight away if you think someone else has used your account.
- You decide who joins your business and what each person can do. You're responsible for what the people you add do in your account.
3. Your records
The records you put into SabiLedger - customers, students, sales, stock, expenses and the rest - belong to your business. We only use them to run the service for you, as our Privacy Policy explains.
You're responsible for what you record: that it's accurate, and that you're allowed to collect it. That includes telling your customers (or, for a school, students' parents) how you use their details, and getting their consent where the law requires it - for example for ID numbers (NIN) and photos, and before sending them text messages.
4. Using SabiLedger fairly
You must not:
- use SabiLedger for anything illegal, or to record or hide fraud;
- try to get into another business's records, test or get around our security, or overload the service;
- copy, resell or rent out SabiLedger itself, or build a competing product from it;
- send text messages people haven't agreed to receive.
5. Add-ons and other services
Some add-ons use other companies' services. Text messages go through your own Termii account and are paid for from your Termii balance, on Termii's terms. If your own website sends orders to SabiLedger, you're responsible for that website and what it tells visitors.
6. Prices and payment
We agree a price with each business before it starts paying. If we change your price, we'll tell you at least 30 days before. If an agreed payment is late, we may restrict your account after telling you, until it's paid.
7. Keeping the service running
We work to keep SabiLedger available and your records safe, and we back them up every day. We can't promise it will never be unavailable - for example during maintenance or a problem at our hosting provider - and we'll do our best to tell you about planned downtime in advance.
We improve SabiLedger all the time, so screens and features may change. We won't remove something your business relies on without telling you first.
8. A tool, not an accountant
SabiLedger adds up what you record. Its reports are only as accurate as what's entered. It isn't tax, legal or accounting advice: for that, talk to a qualified professional.
9. Stopping, suspension and closing
- You can stop using SabiLedger at any time. Before you go, download what you need (stock, debtors, creditors and your reports can be downloaded), or ask us and we'll send you a copy of your records.
- We may suspend an account that breaks these terms, puts others at risk, or hasn't paid what was agreed. Where we can, we'll tell you first and give you a chance to fix it.
- When a business's account is closed and deleted, its records are removed from SabiLedger, and from our backups as those age out, as described in the Privacy Policy.
10. Liability
We're not responsible for losses that come from what's recorded in your account, from decisions made using its reports, or for indirect losses such as lost profit. Otherwise, our total responsibility to you is limited to what you paid us in the 12 months before the problem. Nothing in these terms limits responsibility that the law doesn't allow us to limit.
11. Changes to these terms
If we change these terms, we'll update the date at the top and, for important changes, tell account owners at least 30 days before they apply. Using SabiLedger after that means you accept the new terms.
12. Law
These terms are governed by the laws of the Federal Republic of Nigeria. If there's a disagreement, let's first try to settle it by talking; if we can't, the courts of Nigeria will decide.
